Terms of Service

This agreement (the "Affiliate Agreement") is between you (the "Affiliate") and Jacks Club (the "Company"). By registering for the Jacks Club Affiliate Program, accessing your affiliate dashboard, or accepting any commission, you confirm that you have read, understood and agreed to this Affiliate Agreement.

We may update this Agreement from time to time. We will do our best to notify you of changes, but we recommend revisiting this page regularly. Your continued participation in the Affiliate Program constitutes acceptance of the updated Agreement.

Definitions

  • Affiliate — the person or entity approved to participate in the Affiliate Program.
  • Affiliate Account — the account created for the Affiliate after their application is approved by the Company.
  • Campaign / Referral Link — a tracking link or code generated in the affiliate dashboard that attributes referred players to the Affiliate. A player is attributed to the Affiliate when the Affiliate's code is present at registration, either through the referral link most recently visited or entered as a promo code. Attribution is final and cannot be transferred to another affiliate or campaign afterwards.
  • Conversion — a first-time customer of the Company who registers through the Affiliate's referral link and satisfies the applicable qualification criteria, including a minimum deposit and a minimum level of gaming activity. Only one Conversion may accrue per referred player. The Company conducts internal verification of all referred registrations and shall determine, at its sole and absolute discretion, whether a registration constitutes a genuine, non-abusive Conversion. Registrations found to be duplicative, incentivised, self-referred, fraudulent or otherwise abusive shall not constitute Conversions and shall accrue no Commission. Registrations by the Affiliate, its employees, relatives or associates are excluded.
  • Net Gaming Revenue (NGR) — for all players referred by the Affiliate, the amounts wagered in real-money currencies less winnings paid out, less any costs the Company incurs for those players, including bonuses and promotional credits, third-party game provider fees, payment provider fees on deposits and withdrawals, and costs arising from fraudulent activity or reversed transactions, plus withdrawal fees charged to players and balance deductions applied by the Company, converted to USD at the rate applicable at the time of each transaction and aggregated per calendar month.
  • Commission — the percentage of NGR (RevShare), or where separately agreed an amount per Conversion (CPA), payable to the Affiliate under the applicable commission structure.
  • Fraudulent Traffic — any activity intended to obtain Commission through unlawful or dishonest methods, including self-referrals, collusion, bonus abuse, use of stolen payment methods, false or duplicate accounts, exploitation of technical loopholes, or concealing the origin of traffic.

Affiliate Obligations

  • You must be at least 18 years of age, have the capacity to enter into this Agreement, and not be located in a territory where promoting online gambling is prohibited.
  • Applications are reviewed and approved at the Company's sole discretion. You must provide accurate registration information, keep it up to date, and supply any verification documentation we reasonably request.
  • You are responsible for keeping your login credentials secure and for all activity on your Affiliate Account. Notify us immediately if you suspect unauthorised use.
  • The Affiliate Program is for your direct participation. You may not open more than one Affiliate Account, broker or transfer an account without our prior written consent.
  • You will promote the Company in good faith, using only the referral links provided by us, and will not act in a way that harms the Company's reputation.
  • You will not register as a player through your own links, directly or indirectly. Referred players connected to bonus abuse, money laundering or fraud do not count as Conversions and no Commission is payable for them.
  • You will not place our brand or links on unsuitable websites, including sites aimed at minors or sites containing illegal, violent, discriminatory or infringing content.
  • You will not bid on the Company's brand name, trademarks or brand-related keywords, use them in domain names or social handles, or otherwise generate branded traffic without our prior written consent.
  • Email or SMS marketing that promotes the Company requires our prior permission, explicit recipient consent, and must clearly identify you — not the Company — as the sender.
  • You will support responsible gaming and never target persons under 18 or below the legal gambling age in their jurisdiction, nor any territory where online gambling is illegal.
  • You will comply with all applicable data protection laws, including the GDPR and rules on the use of cookies, and you bear all costs incurred in performing your obligations.

Affiliate Rights

  • We grant you a non-exclusive, non-transferable right, for the term of this Agreement, to direct players to the Company's websites through your referral links.

Company Obligations

  • We will register and track players directed through your referral links and provide you with a dashboard to monitor your campaigns, statistics and Commission.
  • We will process your personal data only to operate the Affiliate Program, meet AML and security requirements, and manage our business relationship.
  • Subject to your adherence to this Agreement, we will pay your Commission as described below.

Commission & Payment

Your RevShare rate follows the commission tier ladder below, based on the total NGR your referred players generate in a calendar month. Every tier can be combined with CPA into a hybrid deal, agreed individually with your affiliate manager.

  • Bronze — 25% of NGR · below $5,000 Monthly NGR
  • Silver — 30% of NGR · $5,000+ Monthly NGR
  • Gold — 35% of NGR · $10,000+ Monthly NGR
  • Platinum — 40% of NGR · $25,000+ Monthly NGR
  • Diamond — 50% of NGR · $50,000+ Monthly NGR
  • Launch offer: every new Affiliate receives 50% RevShare for their first 2 months, regardless of volume.
  • CPA deals: every Conversion is assigned a tier based on the location and network of the referred player. The agreed CPA amount is paid in full for the high tier, at 60% for the medium tier and at 20% for the low tier. Players using anonymous networks or whose location cannot be verified are assigned the low tier.
  • Commission is calculated at the end of each calendar month and paid out automatically in the supported cryptocurrencies. A negative monthly balance is carried over to the following period.
  • Payouts are sent on the 1st of the month once your balance covers the minimum payout amount of the chosen cryptocurrency. A smaller balance is carried over to the next month.
  • We may require identity ("know your customer") verification at any time to keep your account open.
  • If a calculation error is made, we may correct it at any time, paying out any underpayment or reclaiming any overpayment. Commission relating to refunded, charged-back or fraudulent activity may be recalculated or reclaimed.
  • Acceptance of a Commission payment is full and final settlement for that period unless you notify us of a disagreement, with reasons, within 14 calendar days.
  • Commission is exclusive of any taxes. You are solely responsible for all taxes and charges due on income generated under this Agreement.

Company Rights & Remedies

If you breach this Agreement, or we reasonably suspect Fraudulent Traffic, we may: suspend your participation and Commission payments while we investigate; withhold Commission arising from the offending traffic or campaigns; withhold amounts reasonably required to cover any liability caused by your breach; and terminate this Agreement with immediate effect.

Confidentiality

Any non-public information you receive through the Affiliate Program — including your commission terms — is confidential. You will not disclose it or use it outside the purposes of this Agreement, and you will not issue press releases about your participation without our prior written consent. This obligation survives termination.

Term & Termination

  • This Agreement starts when your application is approved and continues until either party terminates it, which either of us may do at any time by email. We may terminate immediately for breach.
  • Upon termination you must disable all referral links. All rights granted to you end immediately, and no further Commission accrues from the date of termination.

Governing Law & Dispute Resolution

Any dispute shall first be raised with your affiliate manager or by email to the Company. If unresolved within sixty (60) days, either party may pursue formal proceedings as set out below.

This Agreement and any matters relating to it are governed by, and construed in accordance with, the laws of the Autonomous Island of Anjouan, Union of the Comoros. You irrevocably agree that the courts of Anjouan have exclusive jurisdiction over any claim, dispute or difference concerning this Agreement and waive any objection to proceedings in those courts. Nothing in this clause limits the Company's right to take proceedings against you in any other court of competent jurisdiction. All disputes and proceedings shall be conducted in the English language.

Notices

We may give you notice by email to the address registered on your Affiliate Account or by posting it in your affiliate dashboard. A notice is deemed received within 24 hours of being sent or posted. You give us notice by email to the address provided by your affiliate manager.

Miscellaneous

  • The Affiliate Program is provided "as is", without warranties of any kind. In the event of a discrepancy between dashboard reports and the Company database, the database prevails.
  • You will indemnify the Company against all liabilities, losses and costs arising from your breach of this Agreement or your negligence. The Company is not liable for indirect, special or consequential damages, or loss of revenue, profits, data or goodwill.
  • The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship.
  • Neither party is liable for delays caused by events beyond its reasonable control. You may not assign this Agreement without our prior written consent.
  • If any provision is held invalid, the remainder of the Agreement stays in effect. This Agreement was drafted in English; in case of conflict with a translation, the English version prevails.
